PHOTOGRAPHY & VIDEO SERVICES TERMS AND CONDITIONS

Important: This document sets out the standard terms governing all photography and videography services provided by Ninaform Solutions Ltd (UK), operating under the trading name "Diaznash" ("the Photographer"). Ninaform Solutions Ltd may provide other services outside the scope of this agreement; however, these Terms apply solely to photography and videography services delivered under the Diaznash brand. It is designed to be accepted electronically without signature.

Business Identity

The services covered by this Agreement are provided by:

Ninaform Solutions Ltd (United Kingdom)
Trading as: Diaznash

This Agreement applies only to photography and videography services offered under the Diaznash brand and does not govern any other services provided by Ninaform Solutions Ltd.

1. Acceptance of Terms

By booking, paying a deposit, or otherwise engaging the Photographer’s services, the Client confirms that they have read, understood, and agreed to be legally bound by these Terms and Conditions.

No physical or digital signature is required. Acceptance is deemed upon:

  • payment of any invoice or deposit

  • written confirmation (email, message, booking form)

  • attendance at the scheduled shoot

2. Scope of Services

The Photographer provides photography and videography services including, but not limited to:

  • portraits

  • couples and group sessions

  • events and weddings

  • commercial and brand work

Specific details (such as dates, pricing, deliverables, and timelines) are agreed separately via booking confirmation, invoice, or verbal or written communication. These details form part of the overall agreement but are not contained within this document.

The Photographer retains full creative control over all aspects of the shoot and final output.

3. Payments and Booking

Bookings are confirmed upon receipt of payment or explicit agreement.

Unless otherwise agreed:

  • payments are non-refundable

  • outstanding balances must be settled before final delivery

Failure to complete payment may result in withholding of deliverables.

4. Cancellation and Rescheduling

Cancel at least 10 days before the start time of the photoshoot for a full refund.

If the Client cancels or reschedules, the Photographer reserves the right to:

  • retain any payments made

  • charge additional fees depending on notice period and circumstances

Rescheduling is subject to availability.

If the Photographer is unable to perform due to circumstances beyond reasonable control, liability is limited to refund of monies paid.

5. Copyright and Ownership

All copyright and intellectual property rights in all photographs, video footage, and related materials remain the exclusive property of the Photographer.

This includes:

  • edited and unedited images

  • video footage and final edits

  • behind-the-scenes content

  • thumbnails and promotional material

No copyright is transferred to the Client under any circumstances unless explicitly agreed in writing.

6. Licence to Client

Unless otherwise agreed in writing, all work is licensed for personal use only.

The Client may:

  • share images on personal social media

  • print images for personal use

The Client may not:

  • sell or monetise the content

  • edit, alter, or apply filters unless for personal use only

  • use for business or promotional purposes

  • distribute to third parties for commercial use

Commercial use requires a separate written agreement.

7. Promotional and Portfolio Use

The Photographer reserves the right to use all captured content for business purposes, including:

  • portfolio and website display

  • social media

  • YouTube and behind-the-scenes content

  • advertising (including paid ads)

  • competitions and publications

If the Client requires privacy, this must be agreed in writing before the shoot. Additional fees may apply.

8. Model Release

The Client confirms that all individuals involved have consented to being photographed or filmed.

For minors, the Client confirms they are a parent/guardian or have obtained appropriate consent.

9. Editing and Delivery

All deliverables are provided at the Photographer’s discretion and in their professional style.

The Photographer is not obligated to provide:

  • raw or unedited files

  • every image captured

Delivery timelines are estimates and may vary.

10. Client Responsibilities

The Client agrees to:

  • be punctual and prepared

  • ensure access to locations

  • obtain permissions where required

  • communicate relevant details affecting the shoot

The Photographer is not responsible for missed content due to circumstances outside their control.

11. Limitation of Liability

The Photographer’s liability is limited to the total amount paid by the Client.

The Photographer is not liable for:

  • indirect or consequential loss

  • missed moments due to timing or cooperation issues

  • technical failures beyond reasonable control

In such cases, remedies may include a refund or reshoot where appropriate.

12. Force Majeure

Neither party is liable for failure to perform due to events beyond reasonable control, including but not limited to:

  • severe weather

  • illness

  • travel disruption

  • government restrictions

13. Data Protection

Personal data is processed in accordance with UK GDPR and the Data Protection Act 2018.

Information may be used for:

  • booking administration

  • communication

  • delivery of services

  • lawful marketing where applicable

14. Governing Law

These Terms are governed by the laws of Scotland. Any disputes shall be subject to the jurisdiction of the Scottish courts.

15. Entire Agreement

These Terms constitute the standard agreement governing all services provided by the Photographer and apply unless explicitly varied in writing.

16. Creative Style and Consistency

The Client acknowledges that they have reviewed the Photographer’s portfolio and accepts the artistic style, composition, lighting, and editing approach.

The Photographer retains full creative control and is not liable for dissatisfaction where the delivered work is consistent with their established style.

17. Third-Party Interference

The Photographer is not responsible for compromised coverage caused by interference from guests, venue staff, other photographers/videographers, or restrictions imposed by venues or officials.

18. Image Quality and Platform Use

The Photographer delivers high-resolution files suitable for their intended use. The Photographer is not responsible for any loss of quality due to compression, resizing, or alteration by third-party platforms (e.g., social media, messaging apps, or websites).

19. Attribution

Where reasonable, the Client agrees to credit the Photographer (e.g., “Diaznash” or associated social media handles) when sharing images publicly.

20. Indemnity

The Client agrees to indemnify and hold harmless the Photographer against any claims, damages, or liabilities arising from:

  • misuse of the images or video

  • failure to obtain necessary permissions from subjects or venues

  • unauthorised commercial use

21. Equipment and Backup

The Photographer uses professional equipment and reasonable backup practices. However, no guarantee is made against complete technical failure, loss, or corruption of data beyond reasonable control.

22. Travel and Additional Costs

Any travel, accommodation, location fees, or special access costs required for the shoot shall be agreed separately and are the responsibility of the Client unless otherwise stated.

23. Exclusive Photographer (Events/Weddings)

For events and weddings, the Photographer may require to be the sole hired professional photographer/videographer unless otherwise agreed in advance.

24. Right to Refuse or Terminate Services

The Photographer reserves the right to refuse or terminate services without liability if:

  • the working environment is unsafe

  • there is harassment, abuse, or inappropriate behaviour

  • illegal activity is observed

In such cases, no refund is guaranteed.

End of Terms and Conditions
